Why We Need Bylaws

These days, an organization cannot thrive without leadership, teamwork, and input and contribution from members. The strength of CADN comes from its members and bylaws will help us accomplish our goals by tapping the talents of its members. Although compared to other groups, CADN is still a neonate, but with guidance and organization it will become a viable and important group for its members and those it serves.

What the Bylaws Will Do For CADN

  • Provide an organizational framework.
  • Delineate responsibilities.
  • Critical for carrying out CADN’s mission and achieving CADN’s goals and objectives.
  • Benefit CADN members and all those who are interested in the Chinese culture and life style.

The Essence Of Bylaws

  • Chair: by election, one year term. Chief officer, leader, spokesman.
  • Chair-elect: by election, one year term. Record minutes, publish newsletter.
  • Treasurer/Secretary: by election, 2 year term. Financial, membership directory, mail newsletter, mail ballot.
  • Chair of Nominating Committee: immediately past Chair. Prepares a slate of officers.
  • Area Coordinators: by appointment, 2 year term. Recruit members, communication link, report activities.
  • Coordinator of Projects: by appointment, 1-year term may be reappointed. Lead and complete projects. Can appoint up to 3 committee members.
  • Coordinator of Research: by appointment, 1 year term, may be reappointed. Report the kinds of research being done by CADN members, look for grants and write proposal to fund CADN’s research. Can appoint members to make a committee.
  • Executive Committee: all the above constitute the Executive Committee.
  • Board of Directors: all the past Chairs comprise the Board of Directors. The Board is the governing body, overseeing the progress of CADN’s business.
  • Standing Committee(s): if and when needed, by appointment.
  • Meeting: Executive Committee meets once a year, other business by phone, fax, or e-mail.
  • Business Meeting: once a year for all CADN members.
  • Membership Directory: 90 days after annual meeting.
  • Newsletter: twice a year.
  • Election: by ballots
